Your role

Expectations of the board as a whole

The Forcit cooperative is scaling a forceful, foresight tribe and platform in the Benelux. As the leadership body of the organization and to satisfy its fiduciary duties, the board is responsible and accountable for:

  • Determining the mission and purpose
  • Selecting and evaluating the performance of the executive team
  • Having oversight on the alignment of the social and planetary responsibility
  • Strategic and organizational planning
  • Ensuring strong fiduciary oversight and financial management
  • Fundraising and resource development
  • Stakeholder management
  • Approving and monitoring the programs, partnerships, products, and services
  • Enhancing the public image and reputation
  • Assessing its own performance as the governing body

Expectations of individual, non-executive board members

Each individual board member is expected to:

  • Know the mission, purpose, policies, programs, and needs
  • Faithfully read and understand the financial statements
  • Serve as active advocates and ambassadors and fully engage in identifying and securing the financial resources and partnerships necessary for the organization to advance its mission
  • Leverage connections, networks, and resources in order to develop collective action and fully achieve the mission
  • Help identify personal connections that can benefit the organization’s fundraising and reputational standing and can influence the public policy
  • Prepare for, attend, and conscientiously participate in board meetings
  • Participate fully in one or more committees
  • Act according to the one-tier governance structure

Expectations of a non-executive chairman of the board

  • Mentoring the managing director and the leadership team
  • Monitoring the executive and non-executive directors and acting in the interest of the company stakeholders.
  • Responsible for the board's agenda

Job requirements

As the chairman of the board you are expected to

  • Follow the organization’s bylaws, policies, and board resolutions
  • Sign an annual conflict-of-interest disclosure and update it during the year if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
  • Maintain confidentiality about all internal matters of the organization

We are looking for someone with

  • Finance and strategic expertise and experience
  • Relevant experience within the Benelux market
  • High-interest in innovation, sustainability, and technology
  • Experience as a chairman and board member
